Terms of Service

SP3ND Inc. — Effective Date: April 2026

1. Introduction

These Terms of Service ("Terms") govern your use of SP3ND's platform and services, including our website (sp3nd.shop), mobile dApp on the Solana dApp Store, and browser extension. By accessing or using SP3ND, you agree to be bound by these Terms.

2. About SP3ND

SP3ND is a purchasing service operated by SP3ND Inc., a Delaware C-Corporation. We enable users to purchase physical products using cryptocurrency (stablecoins and other Solana tokens) paid directly from their personal wallets. SP3ND serves as the merchant of record and manages product fulfillment through integrated partners.

Key Points:

  • SP3ND is a purchasing service, not a financial service or cryptocurrency exchange
  • SP3ND does not convert cryptocurrency to fiat currency on behalf of users
  • SP3ND does not custody or hold your cryptocurrency assets
  • Cryptocurrency payments are processed immediately at the time of order

3. Eligibility

You must be at least 18 years old to use SP3ND. By using our services, you represent and warrant that you meet this age requirement and are legally able to enter into this agreement.

4. How SP3ND Works

The SP3ND purchasing process operates as follows:

  1. You select a product available on SP3ND
  2. You initiate payment directly from your personal cryptocurrency wallet
  3. Upon successful payment, the cryptocurrency becomes SP3ND's asset
  4. SP3ND uses its fiat reserves to purchase the product from our fulfillment partners
  5. The product is shipped to your specified address
  6. You receive the physical product

You retain full control of your cryptocurrency wallet and private keys. SP3ND does not have access to, custody of, or control over your digital assets.

5. Supported Platforms and Products

Current Availability:

  • Platforms: Web application, mobile dApp, and browser extension (coming soon)
  • Products: Currently available through Amazon and eBay

SP3ND may expand to additional platforms and product sources in the future. We will notify users of significant changes.

6. Pricing and Fees

SP3ND charges a service fee based on order value:

  • Orders under $100: $2.50 flat fee
  • Orders between $100 and $999: 2.5% of order value
  • Orders $1,000 and above: 1.5% of order value

Important Pricing Terms:

  • Prices displayed are estimates only
  • Final pricing is determined at the time of purchase
  • SP3ND does not guarantee product availability or pricing through its fulfillment partners
  • You are responsible for any price fluctuations between product selection and purchase completion

7. Know Your Customer (KYC)

  • Orders under $10,000 USD equivalent: No identity verification required
  • Orders $10,000 USD equivalent and above: Identity verification required before processing

KYC requirements are subject to change in compliance with applicable regulations.

8. Tax Responsibility

You are solely responsible for determining and reporting any tax obligations related to your cryptocurrency transactions on SP3ND. This includes income tax, capital gains tax, and any other applicable taxes. SP3ND does not provide tax advice and cannot determine your personal tax liability.

9. Product Fulfillment

SP3ND's Responsibilities:

  • Process your payment securely
  • Source products from its suppliers or fulfillment partners using its own funds
  • Provide order tracking and status information

What SP3ND Does Not Control:

  • Product quality, authenticity, or suitability
  • Inventory availability
  • Shipping times and delivery dates
  • Fulfillment partner customer service

SP3ND is not responsible for delays, damage, loss, or non-delivery caused by our fulfillment partners. Issues with product quality, shipping, or delivery should be addressed through SP3ND's support channels, and SP3ND will coordinate with fulfillment partners to resolve the issue.

10. Refund Policy

Refunds and dispute resolution are handled on a case-by-case basis. To request a refund or report an issue:

  1. Contact the SP3ND community through our Discord server
  2. Provide your order details and explanation
  3. Our team will evaluate your request and respond within a reasonable timeframe

Refund eligibility depends on the nature of your request and the fulfillment partner's policies.

11. Prohibited Uses

You agree not to use SP3ND for any of the following:

  • Any illegal activity or purpose
  • Transactions using cryptocurrency wallets identified on government sanctions lists or OFAC (Office of Foreign Assets Control) lists
  • Money laundering or structuring transactions to evade regulatory requirements
  • Fraud, deception, or misrepresentation
  • Violation of any applicable laws or regulations
  • Intellectual property infringement
  • Harassment or abuse of SP3ND personnel or other users

SP3ND uses wallet screening tools to identify potentially sanctioned or high-risk wallets. We reserve the right to block transactions flagged by these screening services.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SP3ND AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF USE, EVEN IF SP3ND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SP3ND's total liability under these Terms shall not exceed the amount of fees you paid to SP3ND in the 12 months preceding the claim.

13. Disclaimer of Warranties

SP3ND provides its services on an "as-is" and "as-available" basis. SP3ND makes no warranties, express or implied, regarding:

  • The accuracy, reliability, or completeness of service availability
  • The absence of errors or defects
  • The compatibility with your systems
  • The results or outcomes of using SP3ND

SP3ND does not warrant that the service will be uninterrupted or error-free.

14. Modifications to Terms and Services

SP3ND reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of SP3ND following modification constitutes acceptance of the updated Terms.

SP3ND may also modify, suspend, or discontinue services without liability. We will make reasonable efforts to notify users of material changes.

15. Wallet Screening and Transaction Blocking

SP3ND uses third-party wallet screening services to comply with anti-money laundering and sanctions regulations. SP3ND reserves the right to:

  • Block transactions from wallets flagged as high-risk
  • Decline service to wallets associated with sanctioned jurisdictions or individuals
  • Request additional information or identity verification
  • Refund blocked transactions in cryptocurrency to the originating wallet

These actions are taken in compliance with applicable law and are not subject to dispute through our standard refund process.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

17. Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of SP3ND shall be resolved through binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services) under its Comprehensive Arbitration and Mediation Rules & Procedures, or if JAMS is unavailable, the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

The arbitration shall be conducted in Wilmington, Delaware, unless otherwise agreed by the parties. You and SP3ND agree to attempt to resolve disputes informally before initiating arbitration.

18. Severability

If any provision of these Terms is found to be unenforceable, that provision shall be reformed to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions shall continue in full force and effect.

19. Entire Agreement

These Terms constitute the entire agreement between you and SP3ND regarding your use of our services and supersede all prior and contemporaneous agreements, understandings, and communications.
