These Terms of Service ("Terms") govern your use of SP3ND's platform and services, including our website (sp3nd.shop), mobile dApp on the Solana dApp Store, and browser extension. By accessing or using SP3ND, you agree to be bound by these Terms.
SP3ND is a purchasing service operated by SP3ND Inc., a Delaware C-Corporation. We enable users to purchase physical products using cryptocurrency (stablecoins and other Solana tokens) paid directly from their personal wallets. SP3ND serves as the merchant of record and manages product fulfillment through integrated partners.

The SP3ND purchasing process operates as follows:
You retain full control of your cryptocurrency wallet and private keys. SP3ND does not have access to, custody of, or control over your digital assets.

You are solely responsible for determining and reporting any tax obligations related to your cryptocurrency transactions on SP3ND. This includes income tax, capital gains tax, and any other applicable taxes. SP3ND does not provide tax advice and cannot determine your personal tax liability.

SP3ND is not responsible for delays, damage, loss, or non-delivery caused by our fulfillment partners. Issues with product quality, shipping, or delivery should be addressed through SP3ND's support channels, and SP3ND will coordinate with fulfillment partners to resolve the issue.

SP3ND uses wallet screening tools to identify potentially sanctioned or high-risk wallets. We reserve the right to block transactions flagged by these screening services.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SP3ND AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF USE, EVEN IF SP3ND HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SP3ND's total liability under these Terms shall not exceed the amount of fees you paid to SP3ND in the 12 months preceding the claim.
SP3ND provides its services on an "as-is" and "as-available" basis. SP3ND makes no warranties, express or implied, regarding:

SP3ND reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Continued use of SP3ND following modification constitutes acceptance of the updated Terms.
SP3ND may also modify, suspend, or discontinue services without liability. We will make reasonable efforts to notify users of material changes.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or your use of SP3ND shall be resolved through binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services) under its Comprehensive Arbitration and Mediation Rules & Procedures, or if JAMS is unavailable, the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
The arbitration shall be conducted in Wilmington, Delaware, unless otherwise agreed by the parties. You and SP3ND agree to attempt to resolve disputes informally before initiating arbitration.
If any provision of these Terms is found to be unenforceable, that provision shall be reformed to the minimum extent necessary to make it enforceable, or if not possible, severed. The remaining provisions shall continue in full force and effect.
These Terms constitute the entire agreement between you and SP3ND regarding your use of our services and supersede all prior and contemporaneous agreements, understandings, and communications.
